2. Use of Ombase Limited Products

2.1 Intended Use

Users must use the Products as intended and follow all provided operational guidelines.

3. Ownership and Intellectual Property

3.1 Product Ownership

Users own the physical hardware of the Product upon completion of purchase and full payment. However, all software, BIOS firmware, microcode, designs, diagnostic tools, and intellectual property embedded in or bundled with the Product remain the exclusive property of Ombase Limited or its respective technology licensors.

3.2 License to Use Software

Ombase Limited grants the User a limited, non-exclusive, non-transferable, revocable license to utilize the software and firmware provided with the Product solely for its intended computing operation.

3.3 Restrictions

Users may not:

• Copy, distribute, sublicense, rent, lease, or modify the Product software or embedded system images.
• Attempt to bypass, crack, or disable cryptographic security mechanisms or digital signatures embedded in the firmware.
• Reverse-engineer, decompile, or disassemble any portion of the software, except where expressly permitted by mandatory statutory provisions of applicable Indian law.

4. User Responsibilities

4.1 Compliance with Instructions

Users are responsible for reviewing and observing all documentation, technical datasheets, safety instructions, setup manuals, and maintenance guidelines provided with the Product and published on www.ombase.in.

4.2 Data Backup

5. Product Warranty and Repairs

5.1 Warranty Coverage

Ombase Limited provides warranty coverage for its computing hardware under the conditions outlined in the official Warranty Policy available on www.ombase.in. Users must refer to the policy for complete details regarding claim validation, duration, and on-site field dispatch protocols.

5.2 Out-of-Warranty Repairs

Users may request official maintenance and hardware component replacement services for Products that have exceeded their warranty term for applicable service and component fees through our official Support Desk (support@ombase.in).

6. Limitation of Liability

6.1 No Warranty for Unintended Use

Ombase Limited is not responsible for any malfunctions, thermal throttling, or hardware damage arising from improper, unintended, or overclocked use of its Products outside rated parameters. Using Products in non-specified environments voids warranty coverage and limits liability.

6.2 Exclusion of Indirect Damages

To the maximum extent permitted by applicable law, Ombase Limited shall not be liable for any indirect, incidental, consequential, special, or punitive damages, including without limitation loss of profits, commercial revenue, operational downtime, goodwill, or business data, even if advised in advance of such possibilities.

6.3 Limitation of Direct Liability

In no event shall Ombase Limited's aggregate liability to the User for any and all claims arising out of these Terms exceed the total purchase price actually paid by the User for the specific Product or service via www.ombase.in.

7. Privacy and Data Collection

7.1 Data Collection

Ombase Limited may collect specific technical, diagnostic, and telemetry data associated with website usage and product support interactions to enhance system reliability and client experience. Users consent to this collection when interacting with www.ombase.in and Ombase Products.

8.2 Effects of Termination

Upon termination, the User must cease using licensed software and remove associated copies. Termination does not affect title or ownership of physical hardware, but all software, driver, and portal access rights revert immediately to Ombase Limited.

9. Governing Law and Dispute Resolution

9.1 Governing Law

These Terms and any non-contractual obligations arising out of or in connection with them shall be governed by, construed, and enforced in accordance with the laws of the Republic of India and the Companies Act, 2013.

9.2 Dispute Resolution & Jurisdiction

Any claim, controversy, or dispute arising out of or relating to these Terms, access to www.ombase.in, or purchases of Ombase Products shall first be addressed through informal negotiations. If unresolved, the matter shall be submitted to the exclusive jurisdiction of the competent courts of Pune, Maharashtra, India.
